Inc</a> (NASDAQ: <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">YHOO</a>). Some of the sources said the preliminary talks are unlikely to result in a deal with Yahoo!</li>
    <li><a href="http://finance.aol.com/quotes/johnson-and-johnson/jnj/nys">Johnson &amp; Johnson</a> (NYSE: <a href="http://finance.aol.com/quotes/johnson-and-johnson/jnj/nys">JNJ</a>) is reportedly in exclusive talks to sell its wound-care business Ethicon to the private-equity arm of <a href="http://finance.aol.com/quotes/jp-morgan-chase-and-co/jpm/nys">JP Morgan Chase &amp; Co</a> (NYSE: <a href="http://finance.aol.com/quotes/jp-morgan-chase-and-co/jpm/nys">JPM</a>), according to the <a href="http://online.wsj.com/article/SB121491948390819239.html?mod=todays_us_marketplace"><em>Wall Street Journal</em></a>. <p>And, no doubt, his dealmaking is likely to continue. In fact, there are reports that ArcelorMittal will make a <a href="http://www.bloomberg.com/apps/news?pid=20601081&amp;sid=aoFIZgSOeK0U&amp;refer=australia">play</a> for Rio Tinto Group, which is the #2 ore producer in the world. The company is currently ensnared in a hostile takeover from <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys">BHP Billiton Ltd.</a> (NYSE: <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys">BHP</a>). Basically, ArcelorMittal may make an equity investment, which could exceed $10 billion. </p>
<p>Why? ArcelorMittal needs to find ways to stabilize its raw material supplies. After all, with pricing pressures, it's important to contain things. </p>
<p>Then again, this may ultimately be mostly noise -- to get traders excited. But, in light of ArcelorMittal's global power, investors will definitely listen.</p>

<p>Fear of falling car sales is also driving <a href="http://finance.aol.com/quotes/general-motors-corporation/gm/nys">GM</a> (NYSE:<a href="http://finance.aol.com/quotes/general-motors-corporation/gm/nys">GM</a>) down by almost 2%.</p>

That is what the International Energy Agency in Paris is expected to find when it releases its assessment of the world's 400 major oil fields in November, according to the <a href="http://online.wsj.com/article/SB121139527250011387.html?mod=hps_us_whats_news"><em>Wall Street Journal</em></a>, a reversal from previous reports and is based on a lack of investment and aging oil fields.</li>
    <li>The Institute for Safe Medication Practices, a nonprofit safety organization, found serious side effects linked to <a href="http://finance.aol.com/quotes/pfizer-inc/pfe/nys">Pfizer Inc's</a> (NYSE: <a href="http://finance.aol.com/quotes/pfizer-inc/pfe/nys">PFE</a>) Chantix, a smoking cessation drug. Chantix, which has been banned by the FAA for use by pilots and air-traffic controllers, is already tied to psychiatric issues, including depression and suicide, according to the <a href="http://online.wsj.com/article/SB121140022590611635.html?mod=hps_us_whats_news"><em>Wall Street Journal</em></a>, and the report also points to heart trouble, seizures and diabetes.</li>

    <li>The <a href="http://www.nytimes.com/2008/05/22/business/22insure.html?_r=1&amp;ref=business&amp;oref=slogin"><em>New York Times</em></a> reported that the Jacksonville Police and Fire Pension Fund has accused <a href="http://finance.aol.com/quotes/american-international-group-inc/aig/nys">American International Group Inc</a> (NYSE: <a href="http://finance.aol.com/quotes/american-international-group-inc/aig/nys">AIG</a>), along with several of its executives, of inflating its stock price artificially by understating the company's exposure to the subprime mortgage crisis. According to the lawsuit, AIG's Q1 loss of $7.8B shocked investors because the insurance giant assured them that any losses on credit insurance "would be limited".</li>
    <li>Following speculation a Chinese entity would look to take a stake in Australian miner <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys">BHP Billiton Limited</a> (NYSE: <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys">BHP</a>), Huang Tianwen, the president of Sinosteel Corp, said the company has not formed a bid for the firm. <em><a href="http://www.theaustralian.news.com.au/story/0,25197,23741305-5005200,00.html">The Australian</a></em> reported that Chinese steel mills may look to buy into iron ore miner Fortescue Metals Group.</li>

Or is it bigger? Much bigger? That's what I am thinking about this Chinese earthquake. <br /><br />  Katrina distorted the U.S.'s growth pattern for more than a full year. The raw materials, the effort, the work, the reconstruction affected businesses from small-scale retail to refining and infrastructure.  <br /><br />  We don't really know how China works, although a lot of people tell us they do. To me, the Chinese are always a day away from revolution or civil war and the trick of the government is to stay one step ahead of the posse. (Chinese hands will dispute that, but you have to appreciate that it takes a special skill to be wrong for more than a century and still maintain credibility.)  <br /><br />  That means massive reconstruction: bricks, lumber, cement, steel and all the trimmings. Massive imports, not controlled by the Chinese and their little negotiation games like they play with iron and steel and coal. Just full-bore buying and something that could take growth for China back to the levels that everyone thought it couldn't absorb without more inflation. <br /><br /> I know that it is simplistic to think that we will get our fair share of orders here, but just like we didn't expect the price of chicken to be moved dramatically by ethanol, there is only so much chicken feed to go around. Everything from elevators -- <a href="http://finance.aol.com/quotes/united-technologies-corporation/utx/nys">United Technologies</a> (NYSE: <a href="http://finance.aol.com/quotes/united-technologies-corporation/utx/nys">UTX</a>) (<a href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=UTX" target="blank">Cramer's Take</a>) -- to fire prevention to copper wiring, which is why I started buying <a href="http://finance.aol.com/quotes/freeport-mcmoran-copper-and-gold-inc/fcx/nys">Freeport</a> (NYSE: <a href="http://finance.aol.com/quotes/freeport-mcmoran-copper-and-gold-inc/fcx/nys">FCX</a>) (<a href="http://find.thestreet.com/cgi-bin/texis/cramertake_free?site=tsc&amp;puc=aoljjc&amp;tkr=FCX" target="blank">Cramer's Take</a>) again yesterday.  <br /><br /> The theme gets new life from this earthquake which, when the smoke clears, will be revealed as the largest reconstruction project the world may have ever seen. <br /><br />  The groups seem overextended, as overextended as the financials are crushed.  <br /><br /> But it doesn't matter. The raw materials remain in short supply, the ships in short supply, and the situation is combustible like Katrina, and could add more than a percentage to Chinese growth. <br /><br />  Worth playing.  <br /><br />  RELATED LINKS:  <br />

(As the numbers are quite fresh, it's possible they include one-time item not yet sorted out and not comparable to analyst expectations.)<br /><br />John Deere (NYSE: <a href="http://finance.aol.com/quotes/deere-and-company/de/nys">DE</a>) said its <a href="http://money.aol.com/news/articles/_a/deere-2q-profit-rises-22-percent/n20080514074309990030">second-quarter profit rose 22%</a>. Deere experienced increased demand for its farm equipment, as crop prices kept rising, posting an 18% increase in sales. Profit for the quarter jumped to $763.5 million, or $1.74 per share, a penny below analyst estimates. From premarket early action, it seems shares of DE might start much lower.<br /><br />Freddie Mac (NYSE: <a href="http://finance.aol.com/quotes/federal-home-loan-mortgage-corporation/fre/nys">FRE</a>) also reported this morning, saying its <a href="http://money.aol.com/news/articles/_a/freddie-mac-loses-151m-in-1q-as-home/n20080514075009990006">first quarter loss widened</a> to $151 million as the U.S. housing market worsened. Somehow, though, the results were not as poor as expected and FRE's loss of 66 cents a share beat estimates of a 92 cents a share loss. FRE's shares are up over 6% in premarket trading.<br /></div>
<div class="p"><br />Still on earnings, last night              Whole Foods (NASDAQ: <a href="http://finance.aol.com/quotes/whole-foods-market-inc/wfmi/nas">WFMI</a>) and              Electronic Arts (NASDAQ: <a href="http://finance.aol.com/quotes/electronic-arts-inc/erts/nas">ERTS</a>) reported results. Shares of WFMI are plunging nearly 9% in premarket trading as the organic grocery chain reported a <a href="http://today.reuters.com/news/articlehybrid.aspx?type=comktNews&amp;rpc=33&amp;storyid=2008-05-13T213024Z_01_WNAS3947_RTRIDST_0_BUSINESS-WHOLEFOODS-RESULTS-DC.XML">worse-than-forecast 13% profit fall</a>.</div>

<div class="p">             Electronic Arts (NASDAQ: <a href="http://finance.aol.com/quotes/electronic-arts-inc/erts/nas">ERTS</a>) shares are also declining over 2.8% in premarket trading after the suitor of Take-Two Interactive (NASDAQ: TTWO) reported a <a href="http://today.reuters.com/news/articlehybrid.aspx?type=comktNews&amp;rpc=33&amp;storyid=2008-05-14T001615Z_01_WNAS3945_RTRIDST_0_BUSINESS-ELECTRONICARTS-RESULTS-DC.XML">widening quarterly loss</a> and a disappointing outlook.</div><br /><br /> Yes, and Applied Materials (NASDAQ: <a href="http://finance.aol.com/quotes/applied-materials-inc/amat/nas">AMAT</a>) also reported <a href="http://online.wsj.com/article/SB121073136835490663.html?mod=rss_whats_news_technology">lower earnings and revenue</a> after the close Tuesday.  New orders fell in the period, AMAT said, but still managed to beat analysts estimates. Most important, though, is that the maker of equipment for chip said it sees the end of the downturn.<br /><br />In deal news, speculations are mounting that Pfizer Inc. (NYSE: <a href="http://finance.aol.com/quotes/pfizer-inc/pfe/nys">PFE</a>) <a href="http://www.bloomberg.com/apps/news?pid=20601202&amp;sid=a3wINbpOnIiw&amp;refer=healthcare">may bid for MediGene AG</a>, the German developer of the Endotag cancer drug. MediGene shares shot up 16% on the rumor. <br /><br />BHP Billiton (NYSE: <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys">BHP</a>) shares are rising in premarket trading also on bid speculation that China will take a stake in the world's largest miner. It's not clear yet how that will affect BHP's wish to takeover of Rio Tinto (NYSE: RTP).<br /><br />The Guardian reports that chief executive of Telef&oacute;nica Europe, which its O2 has a "multi-year" exclusive deal to sell the iPhone in the UK and Ireland said Apple Inc. (NASDAQ: <a href="http://finance.aol.com/quotes/apple-inc/aapl/nas">AAPL</a>)'s <a href="http://www.guardian.co.uk/business/2008/may/14/telecoms.apple?gusrc=rss&amp;feed=media">3G version of the iPhone</a> will be unveiled "in the coming weeks." (NYSE: </a><a href="http://finance.aol.com/quotes/northwest-airlines-corporation/nwa/nys">NWA</a>) said it was <a href="http://money.aol.com/news/articles/_a/northwest-raises-fares-freezes-hiring/n20080404063709990002">taking several steps</a> to overcoming higher fuel costs. Among them, Northwest said it has "raised prices on international flights, plans to freeze new hiring of pilots and flight attendants, and will cut its domestic schedule by 5% beginning in September." <br /><br /><span style="font-style: italic;">The Wall Street Journal</span> reports that senior executives of Microsof (NASDAQ: <a href="http://finance.aol.com/quotes/microsoft-corporation/msft/nas">MSFT</a>) and Yahoo! Already we heard a few days ago that Microsoft is unwilling to raise its offer, and for now at least, Yahoo! continues to refuse to enter formal negotiations without a better offer. While no doubt Microsoft <span style="font-style: italic;">wants </span>Yahoo!, it may be that Yahoo! <span style="font-style: italic;">needs </span>Microsoft. On that basis, it's possible Microsoft could hold its own, betting Yahoo! would cave in first.<br /></div><br />   <br />
<div class="p">Right after MySpace announced it will <a href="http://www.bloomberg.com/apps/news?pid=20601204&amp;sid=aCjBvFu8h9wU&amp;refer=technology">sell music </a>and concert tickets to prop up revenue as user growth lags behind its rivals, its parent company Fox Interactive Media, a unit of News.Corp (NYSE: <a href="http://finance.aol.com/quotes/news-corporation/nws/nys">NWS</a>) announced a <a href="http://www.news.com/8301-10784_3-9911444-7.html?part=rss&amp;subj=news&amp;tag=2547-1_3-0-20">restructuring </a>and the creation of a new "Audience Network" unit that will be led by Adam Bain. A spokesman said the force majeure will not be called off until the strike ends and production resumes. If you think that the company won't fall by too much in the coming months, then now could be a good time to look at a bullish hedged trade on BHP.<br /><br />After hitting a one-year low of $47.30 last March, the stock hit a one-year high of $87.43 in October. BHP opened this morning at $66.27. So far today the stock has hit a low of $65.73 and a high of $66.49. As of 12:15, BHP is trading at $65.81, up 75 cents (1.1%). The chart for BHP looks bearish and steady, while <a href="http://www.iotogo.com/spoutlookonline" target="_blank">S&amp;P</a> gives the stock a negative 2 STARS (out of 5) sell rating.<br /><br />For a bullish hedged play on this stock, I would consider a May <a href="http://www.iotogo.com/HSCS" target="_blank">bull-put credit spread</a> below the $55 range. A bull-put credit spread is an options position that combines the purchase and sale of put options to hedge risk in case the stock doesn't do what you think but still leverage nice returns. For this particular trade, we will make a 13.6% return in just 2 months as long as BHP is above $50 at May expiration. BHP would have to fall by more than 16% before we would start to lose money. They have proven without a shadow of a doubt that this is not their strong suit. The proposed <a href="http://www.cnn.com/2008/POLITICS/01/29/economic.stimulus/">economic stimulus package</a> has bi-partisan support and calls for an estimated $156 billion of tax rebates ranging from $500 to $1,000 (+ $300 for each child) that might show up in May.</p>
<p>If we are going to add on to our already humungous joke of national debt, than I want to invest this capital in something that will bring a higher return on invested capital (ROIC) than the paltry one time <em>mad money</em>. That expenditure should be for national infrastructure projects like roadways, bridges, tunnels, and waterways.</p>
<p>We have all heard about the poor condition of our national infrastructure and the hundreds of billions of dollars of repair work and replacement that is desperately needed.</p>
<p>This alternative would bring visible results that every single person in the country would benefit from and improved linkages always stimulate economic growth. Road improvements even reduce fuel consumption by shortening routes and reducing friction both strategically and physically.</p><p>Furthermore, this form of stimulus goes directly to support middle and lower income workers, the ones hurt by the severe downturn in the construction industry. The government, like private enterprise, benefits when it can borrow cheaply and invest at higher returns. This has been historically true of infrastructure projects.</p>
<p>Giving people a one time hand out is like giving your kids some cash for the week end. They will enjoy it while it lasts and it won't last long. However, building something usable will have a benefit for several generations.</p>

Leonard Bauer said Friday. "It will force BHP Billiton and others receptive to a deal to redo their fair-value projections for Rio." <br /><br /><a href="http://finance.aol.com/quotes/rio-tinto-plc-ads/rtp/nys?tabs=quotesandnews">Rio</a> (NYSE: <a href="http://finance.aol.com/quotes/rio-tinto-plc-ads/rtp/nys?tabs=quotesandnews">RTP</a>) has twice rejected hostile buyout offers from <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys?tabs=quotesandnews">BHP Billiton</a> (NYSE: <a href="http://finance.aol.com/quotes/bhp-billiton-limited/bhp/nys?tabs=quotesandnews">BHP</a>), the last for $147.4 billion, involving at least 3.4 BHP shares for each Rio share, arguing that the bids substantially undervalue Rio. Rio gained 64 cents to $452.89 while BHP gained $1.01 to $72.89 in Friday afternoon trading.<br /><br />At first glance, the idea of bidding wars for targets appears to be a paradox in the current economic environment. After all, the U.S. economy is barely inching along, and the credit markets can be described, at best, as being cautious regarding potential deals. But the mining sector is another story, Bauer said. Strong economic growth in emerging markets has created surging demand for raw materials, minerals, and commodities. Further, the sector is in the midst of mergers and expansions that will produce miners with global market capabilities. <br /><br /><strong>Iron ore war? </strong><br /><br />The above demand, particularly from Asia, Bauer said, has offset recent, modest quarterly earnings performance from some miners, and has driven up the value of miners like Rio and <a href="http://finance.aol.com/quotes/freeport-mcmoran-copper-and-gold-inc/fcx/nys?tabs=quotesandnews">Freeport McMoRan</a> (NYSE: <a href="http://finance.aol.com/quotes/freeport-mcmoran-copper-and-gold-inc/fcx/nys?tabs=quotesandnews">FC</a>). <br /><br />In addition, China's size and its economic development plan has further increased miners' value. China, which with <a href="http://finance.aol.com/quotes/alcoa-inc/aa/nys?tabs=quotesandnews">Alcoa</a> (NYSE: <a href="http://finance.aol.com/quotes/alcoa-inc/aa/nys?tabs=quotesandnews">AA</a>) earlier this year jointly purchased a 9% stake in Rio Tinto through its Chinalco aluminum company, has said it will continue to seek acquisitions of foreign companies, including mining companies, Bauer said. Bauer added that he does not have a rating on any mining company nor own their shares.<br /><br />"China may ultimately try to outbid BHP because a BHP / Rio union would unite two of the three largest suppliers of iron ore, which China needs for its economy," Bauer said. "A BHP / Rio union would likely leave China in a weaker negotiating position regarding iron ore prices. So you can see why Rio feels BHP's offers so far have not valued the company fairly. Rio knows that as long as China grows, it has a commodity likely to increase in value substantially for years to come. He believes the emergence of new wireless <a href="http://www.marketwatch.com/news/story/nortel-ceo-sees-4g-opportunity/story.aspx?guid=%7B2B6910B4%2D08C3%2D4748%2D8240%2D06BD8A7D237E%7D">fourth-generation communications technologies</a> -- 4G --such as WiMax and Long-Term Evolution will give it a unique chance to get an edge on rivals.<br /> <br /> MarketWatch also interviewed Palm Inc. Centro, equipped with a full Qwerty keyboard and running the Palm operating system, is available with Sprint (NYSE: S) for $99 with a contract. <br /><br /><a href="http://www.techcrunch.com/2008/02/12/yahoo-and-news-corp-continue-marathon-discussions-possible-bid-to-counter-microsoft/">TechCrunch</a> claims to have confirmed a rumor that News Corp. (NYSE: <a href="http://finance.aol.com/quotes/news-corporation/nws/nys">NWS</a>) and Yahoo! (NASDAQ: <a href="http://finance.aol.com/quotes/yahoo-inc/yhoo/nas">YHOO</a>) "are in the middle of marathon discussions." TechCrunch has more details on the deal structure, which also includes a private equity fund.
